Factory seconds are new but not capable of being sold as factory firsts, they have minor defects like scratches etc. Mostly cosmetic that lowers their value.

New is unblemished, etc.
When a person buys a 'New' Car, it has to be presented as 'New'. If it is not 'New' - it is not 'presented' as New to the would be owner. It is 'removed' and 'replaced' by something 'New'.
If I presented a once new Car that has been scratched, blemished and anything else that would fail to be accepted by the would be owner as new and try to pass it off as a Factory Second, it obviously fails to be new anymore.
IT IS SECOND HAND like all other second hand things in the world regardless of 'how' they became second hand.

I think your concept Mimo-Smith Chips, is somewhat archaic and old world.
